Step One: Gathering Documents
1. Articles of Incorporation:
- Approved copy with Secretary of State seal.
- Request from Secretary of State.
2. Constitution/Bylaws:
- Established at the church’s creation.
3. Certificate of Good Standing:
- Request from Secretary of State.
- If not in good standing, file necessary documents to restore status.
Step Two: Voting on Assets
1. Vote on the following:
- Real estate purchases/offers.
- Vehicle purchases/offers.
- Asset Purchase Agreement.
- Restricted/Designated Funds from Merging Church.
- Assignment or termination of leases.
2. Ensure compliance with bylaws:
- Determine voting eligibility, timing, and approval requirements.
For the Merging Church:
Step One: Gathering Documents

Step Two: Dissolution
1. Vote to approve Plan of Dissolution:
- Depending on bylaws, this may involve trustees, elders, or the congregation.
2. Notify Attorney General:
- Submit written notice of termination.
- Check state requirements for notice period.
3. Obtain Certificate of No Tax Due:
- Prove no taxes are owed on properties.
4. File Articles of Termination with Secretary of State.
Step Three: Transfer of Assets
1. Final Vote to transfer/sell assets to Surviving Church.
2. Transfer of Deeds:
- May require Title Insurance.
3. Transfer of Vehicle Titles.
4. Transfer of other properties.
5. Assignment or termination of leases.
6. Notify vendors and others of new name/relationship.
7. Transfer of Memberships (Optional).
